Terms of Service

This Terms of Service ("Agreement") is a legal agreement between Golden Ratio Media, LLC, doing business as Website Express ("Company"), an MSP/ISO, and you ("Merchant" or "Customer"), governing the provision of payment processing services, merchant accounts, and related services. By accessing or using the Company’s services, you agree to be bound by this Agreement.

1. Services Provided

The Company provides:

• Merchant accounts for businesses and individuals to process payments.
• Access to the Company’s internal Webpay Payment Gateway for secure transaction processing.
• Customer support and integration services for merchant account setup.

2. Merchant Responsibilities

Merchants agree to:

• Comply with all applicable laws and regulations related to payment processing, including PCI DSS compliance.
• Use the provided merchant account and Webpay gateway exclusively for legitimate business transactions.
• Promptly address any disputes or chargebacks as required by the applicable card network rules.

3. Payment Gateway Terms

Merchants using the Webpay Payment Gateway must:

• Adhere to the Webpay Payment Gateway Merchant Agreement, which governs all transaction processing activities.
• Access the full Webpay Payment Gateway Merchant Agreement by logging into the Webpay portal and navigating to the "Support" section.

4. Fees and Payment

Merchants are responsible for:

• All fees associated with payment processing services, as outlined in the merchant agreement.
• Ensuring timely payment of all invoices issued by the Company.

The Company reserves the right to suspend or terminate services for non-payment.

5. Limitation of Liability

The Company is not liable for:

• Losses resulting from fraud, chargebacks, or unauthorized transactions.
• Downtime, delays, or errors in payment processing caused by third-party providers or circumstances beyond the Company’s control.

6. Termination

Either party may terminate this Agreement with 30 days' written notice. The Company may terminate immediately in cases of suspected fraud, non-compliance, or breach of this Agreement.

7. Modifications to Terms

The Company may revise this Agreement at any time. Continued use of services constitutes acceptance of the updated terms.

8. Governing Law

This Agreement is governed by the laws of the State of Montana, without regard to its conflict of law provisions. Any legal disputes shall be resolved in Montana.
